Terms of Service
Effective October 31, 2026 · Version 2026-10-31
These Terms of Service (“Terms”) are an agreement between you and SESI.AI LLC, a Florida limited liability company (“SESI”, “we”, “us”), for your use of SESI: the website at www.sessi.ai, the SESI desktop app, and our online services. Please read them carefully.
Important: If you live in the United States, Section 14 requires you and us to resolve most disputes by individual binding arbitration, and you waive the right to a jury trial and to take part in a class action. You can opt out of arbitration within 30 days, as Section 14.6 explains.
You accept these Terms when you check the box or click the button that says you agree, when you create an account or buy credits, or when you use SESI after being shown these Terms. If you do not agree, do not use SESI. If you accept these Terms for an organization, “you” means that organization, and you confirm you have authority to bind it; if you do not, you accept them personally.
1. Who can use SESI
You must be at least 18 years old, or the age of majority where you live if that is higher, to create an account, buy credits or use the SESI app. The website and the early-access list are not directed to children, and no one under 16 may use them.
Accounts and purchases are currently offered only to people located in the United States. We may offer them in other countries later, under terms we will publish at that time.
2. Your account
Give us accurate information and keep it up to date. Keep your sign-in methods and devices secure, and tell us promptly at sess@sessi.ai if you think someone has accessed your account without permission. You are responsible for activity under your account. Our Privacy Policy explains how we handle personal information; it is a notice, not part of these Terms.
3. Early access
SESI is in early access. Early-access and preview features are provided for evaluation; they may be unstable, insecure or incomplete, may be changed or withdrawn without notice, and come with no service levels. We may update the SESI app automatically, and updates may add, change or remove features. Do not use early-access features with systems or data you cannot afford to lose, and keep backups.
4. Credits and payments
Some features use credits. When purchases are available, you can buy credits as one-time packs or through monthly plans at the prices shown at checkout. Payments are processed by Stripe.
- What credits are. Credits are a limited, revocable licence to use SESI’s paid features. They are not money, a deposit, a gift card or a stored-value account; they have no cash value, cannot be redeemed for cash except where the law requires, and cannot be sold, transferred or gifted.
- Expiry. Purchased credits do not expire while your account remains open. Free or promotional credits, including any starter credits, may be withdrawn if they were obtained through abuse, such as creating multiple accounts.
- Using credits. The number of credits a task uses depends on its type and size and is shown in the app. We may change these rates with at least 30 days’ notice; changes apply to tasks run after they take effect. If a change materially reduces what your purchased credits buy, you may ask us to refund your unused purchased credits from purchases made in the previous 90 days.
- No automatic top-ups. When your credits run out, features that need them stop until you add more. We do not charge you for more credits automatically unless you turn on an automatic top-up option if we offer one.
- Taxes. Prices exclude applicable taxes unless stated. Where we must collect sales tax or similar taxes, we add them at checkout and show them before you pay.
- Refunds. Credits are non-refundable except as stated in these Terms or where the law requires. If we end SESI’s paid features, or close your account other than for your breach of these Terms, we will refund your unused purchased credits. If you close your account yourself, unused credits are forfeited, except where the law requires a refund; we will remind you of your balance before you confirm.
- Payment problems. Please contact us first so we can fix any billing problem. If a payment is reversed or disputed, we may suspend your account while the dispute is open and remove unused credits from your balance. Nothing here limits your rights under consumer-credit laws or card-network rules, and if a dispute is decided in your favour we will not penalize your account beyond reversing that payment’s credits.
Monthly plans. IF WE OFFER MONTHLY PLANS, A MONTHLY PLAN IS A SUBSCRIPTION THAT RENEWS AUTOMATICALLY EVERY MONTH, AND WE WILL CHARGE YOUR PAYMENT METHOD THE PLAN PRICE SHOWN AT CHECKOUT, PLUS APPLICABLE TAX, ON THE SAME DAY EACH MONTH UNTIL YOU CANCEL. Each renewal adds that plan’s monthly credits to your balance; plan credits do not expire while your account remains open. You can cancel at any time online in your account’s Billing page, without contacting us; cancellation takes effect at the end of the current billing month, you keep credits already granted, and you will not be charged again. Before you subscribe we will show these renewal terms and ask for your express agreement, and we will email you a confirmation that explains how to cancel. If we change a plan’s price, we will email you at least 30 days before the change applies to you, and you can cancel before it takes effect.
5. Acceptable use
You must not use SESI to:
- break the law, or infringe or misuse anyone’s rights, including privacy, publicity and intellectual property rights;
- create or spread malware, spam or fraud, or send unsolicited bulk messages in breach of anti-spam laws;
- create or share content that sexually exploits or endangers children;
- harass, threaten, stalk, surveil or deceive people, or impersonate others;
- access, scrape or harvest accounts, systems or data you are not authorized to access, or in breach of another service’s terms, including through credential stuffing;
- interfere with, overload or test the security of SESI, except as allowed in Section 18, or decompile or reverse engineer it except as Section 10 allows;
- get around credit metering, spending limits, safety controls or other limits, or create multiple accounts to obtain free credits;
- break the usage policies of any AI model provider whose models you use through SESI; or
- resell or provide SESI’s online services to others without our written permission.
6. SESI’s AI agents
What agents do. SESI’s agents can read, create, change and delete files, run programs and commands, browse the web, and act in the accounts and tools you connect, for example sending messages, making commits or changing settings. Agents act within the permissions and approval settings you choose.
You authorize and are responsible for agent actions. You authorize SESI’s agents to act on your behalf, within the permissions you grant. You are responsible for all actions agents take within those permissions, whether or not you instructed the specific action, including actions caused by AI error or by instructions hidden in content an agent reads, such as web pages, emails, documents or code. You are the sender of any message an agent sends and the user of any account an agent operates, and you must have the right to let SESI use each account, system and data source you connect, including under that service’s own terms.
Your safeguards. Review agents’ plans and output before relying on them. Use approval settings for actions that cannot be undone, that spend money, that are public or that affect other people. Give agents access only to what a task needs, and keep backups. Do not give agents access to systems you are not authorized to use, or whose failure could cause physical harm.
Prohibited high-risk uses. Do not use SESI: (i) to operate or control critical infrastructure, medical devices, vehicles, weapons or any system whose failure could lead to death, injury or serious damage; (ii) to make or materially support decisions with legal or similarly significant effects on other people, such as credit, employment, housing, insurance, education, immigration or access to essential services, without meaningful human review and every notice the law requires; (iii) for biometric identification, social scoring or other practices prohibited by law; or (iv) to create deceptive impersonations of real people, or election disinformation.
Not professional advice. SESI and its output are not legal, medical, financial, tax, investment, engineering or other professional advice. Do not let agents make payments, trades or other financial transactions without your own review.
7. Your content
You own what you create and bring to SESI, and most of it stays on your own computer. Where you send content to our online services, such as a bug report, you give us a limited licence to host, process and transmit it only to provide, secure and improve those services for you, as described in our Privacy Policy. We do not use the content of your SESI workspaces, files or conversations to train AI models. If you connect your own AI model provider or tool, that provider’s terms decide how it uses what is sent to it. If we ever want to use your content for training, we will ask for your consent first.
8. AI output
SESI uses AI to plan, write and act, and its output can be wrong, incomplete, unsafe or unsuitable. As between you and us, you own the output SESI generates for you, and we assign to you any rights we have in it. Output may not be protected by copyright, may be similar to output generated for others, and may include material owned by third parties. You are responsible for reviewing output and for making sure your use of it, including code, text and images, complies with the law and with others’ rights, including open-source licences. SESI is an AI system; where the law requires, it marks AI-generated content, and you must not remove those markings or present AI-generated depictions of real people or events as genuine.
9. Third-party models and services
SESI works with AI models, tools and accounts that you choose and connect, such as model providers, command-line tools and services like GitHub. Your use of them is governed by their own terms and pricing, and we are not responsible for them, their availability or their output.
10. Licence, our property and feedback
Licence. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the SESI app on devices you own or control, and to use our online services, for your own personal or internal business purposes. We may suspend or end this licence only as described in Section 11. You must not copy, modify, distribute, sell, lease or make derivative works of SESI; decompile, disassemble or reverse engineer the app or our online services, except to the extent the law expressly permits despite this restriction; remove proprietary notices; or use SESI to build a competing product. Open-source components are licensed under their own licences, which prevail for those components.
Our property. SESI, Sessi, our software, websites, characters, designs and logos belong to SESI.AI LLC and are protected by law. You may not use our names, logos or characters, including SESI, Sessi and the S E S I logotype, without our written permission, except to refer accurately to SESI, and you may not register domain names or social media handles containing them.
Feedback. If you send us ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, change and commercialize them without restriction or obligation to you. We will not use your name or logo to advertise SESI without your permission.
11. Suspension and termination
You may stop using SESI and close your account at any time, as described in our Privacy Policy. We may suspend or end your access: (a) if you materially breach these Terms; (b) if the law, a court or a government authority requires it; (c) to prevent fraud, abuse, security risks or harm to others; or (d) if we stop offering SESI or a feature. Where reasonable, we will give you notice and a chance to fix the problem first. If we end your access under (d), or otherwise without cause, we will refund your unused purchased credits and give you at least 30 days to download any account data we hold. If we end it for your material breach, unused credits are forfeited where the law allows. Sections 4 (amounts owed and refunds), 6 to 9, 10 (except the licence grant) and 12 to 20, and any other terms that by their nature should survive, continue after your use ends.
12. Disclaimers
SESI IS IN EARLY ACCESS AND IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, SESI.AI LLC DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT SESI, ANY AI OUTPUT OR ANY AGENT ACTION WILL BE ACCURATE, COMPLETE, SAFE, UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOU ARE RESPONSIBLE FOR BACKING UP YOUR SYSTEMS AND DATA.
If you are a consumer with statutory rights about the quality or conformity of digital content or services that cannot be excluded, those rights are not affected by this section.
13. Limitation of liability
(A) TO THE FULLEST EXTENT PERMITTED BY LAW, SESI.AI LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO SESI OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY.
(B) TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO SESI OR THESE TERMS IS LIMITED TO THE GREATER OF (I) THE AMOUNTS YOU PAID US FOR SESI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, AND (II) US$100.
(C) Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for our gross negligence or wilful misconduct, or for any other liability that cannot be limited or excluded under applicable law. Where the law does not allow these limits, (A) and (B) apply only to the extent it allows. These limits are an essential basis of our agreement and apply even if a limited remedy fails of its essential purpose.
14. Governing law and disputes
14.1 Governing law. These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. The Federal Arbitration Act governs Section 14.3. If you are a consumer living outside the United States, you also keep the protection of the mandatory consumer laws of your country of residence.
14.2 Informal resolution first. Before starting an arbitration or court case (other than in small claims court), you and we each agree to send the other a written notice describing the dispute and the relief sought, and to try in good faith to resolve it for 60 days, including on a phone or video call if either of us asks. Send notices to us at sess@sessi.ai with the subject “Legal notice”, or by mail to the address in Section 21; we will send notices to your account email. The notice must include the claimant’s name, account email and a description of the claim, and must be personally signed by the claimant (and by counsel, if represented). Limitation periods are paused during these 60 days.
14.3 Arbitration (US users). If you live in the United States, you and SESI.AI LLC agree to resolve any dispute arising out of or relating to SESI or these Terms by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules and, where 25 or more similar demands are filed by or with the help of the same or coordinated counsel, its Mass Arbitration Supplementary Rules, before a single arbitrator. The arbitrator decides all questions of arbitrability, except that a court decides questions about Sections 14.4 and 14.6 and about whether these Terms were formed. We will pay all AAA filing, administration and arbitrator fees for any claim seeking less than US$25,000, unless the arbitrator finds the claim frivolous. The arbitration will take place by video, in the county where you live, or on documents only for claims under US$10,000. The arbitrator may award any individual relief a court could, including attorneys’ fees where the law allows. If the AAA is unavailable or declines to administer the arbitration, you and we will agree on another arbitration provider, and if we cannot agree within 30 days, a court will appoint an arbitrator under 9 U.S.C. §5.
14.4 Class action and jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY INDIVIDUALLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. WHERE THE LAW ALLOWS, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.
If this class waiver is found unenforceable for a claim, that claim alone proceeds in court, stayed until the individual arbitration ends. Requests for public injunctive relief, to the extent a waiver of them is unenforceable under applicable law, will be decided by a court after any arbitrable claims are resolved. If you live in a state where pre-dispute jury waivers are unenforceable, the jury waiver does not apply to you.
14.5 Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and may ask a court for injunctive relief to stop infringement or misuse of intellectual property or unauthorized access to SESI’s systems.
14.6 Opting out. You may opt out of Section 14.3 by emailing sess@sessi.ai with the subject “Arbitration opt-out”, your name and your account email, within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
14.7 Courts. Disputes not subject to arbitration will be resolved exclusively in the state courts in Alachua County, Florida, or the United States District Court for the Northern District of Florida, and you and we consent to their jurisdiction. If you are a consumer living outside the United States, you may instead bring proceedings in the courts of your country of residence.
14.8 Severability. If any part of Section 14.3 or 14.4 is found unenforceable, the rest of this Section remains in effect, except as stated in Section 14.4.
15. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless SESI.AI LLC and its members, managers, employees and contractors against third-party claims, and related losses, damages, fines and reasonable attorneys’ fees, to the extent they arise from (a) your breach of these Terms or of the law, (b) your content, or (c) actions SESI’s agents take within the permissions you grant in accounts or systems you connect. We will promptly notify you of the claim, let you control its defence with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle a claim that imposes obligations on us without our written consent. This section does not apply to the extent a claim is caused by our negligence or wilful misconduct, by a defect in SESI, or by our breach of these Terms.
16. Export and sanctions
SESI is subject to US export control and sanctions laws. You confirm that you are not located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, and that you are not on, or owned by anyone on, a US government restricted-party list. You will not export, re-export or use SESI in breach of those laws or for prohibited end uses, including weapons development.
17. Copyright complaints
If you believe content on SESI infringes your copyright, send a notice that meets 17 U.S.C. §512(c)(3) to sess@sessi.ai with the subject “Copyright notice”, or by mail to the address in Section 21. We will end the accounts of repeat infringers in appropriate circumstances.
18. Security research
Report security vulnerabilities to sess@sessi.ai with the subject “Security report”. If you act in good faith, avoid privacy violations, destruction of data and disruption of service, give us reasonable time to fix the issue before telling others, and do not exploit it beyond what is needed to show it, we will not pursue legal action against you for that research, and we consider it authorized under these Terms.
19. Changes to these Terms
We may update these Terms to reflect changes in SESI, the law or our business. For material changes, we will give you at least 30 days’ notice by email to your account address and in the product, and if you have an account we will ask you to accept the updated Terms before you continue using it. Changes apply only going forward: they never apply to a dispute that arose, or a claim that was filed, before they took effect, and changes to Section 14 do not apply to a dispute we knew of before the change. If you do not agree to a change, you may stop using SESI and close your account before it takes effect; if a change materially reduces what your purchased credits buy, you may ask for a refund as described in Section 4 (Using credits). Non-material changes, such as clarifications, take effect when posted.
20. General
- Entire agreement. These Terms, with any terms shown when you buy, are the whole agreement between you and us about SESI and replace earlier agreements on that subject. If these Terms conflict with another SESI policy or notice, these Terms control, unless we have signed a separate written agreement with you.
- Severability. If a provision is unenforceable, it is enforced to the fullest extent allowed and the rest remains in effect, subject to Section 14.4.
- No waiver. If we do not enforce a provision, that is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or as part of a merger, acquisition or sale of assets, with notice to you.
- Events beyond control. Neither of us is liable for delays or failures caused by events beyond reasonable control, such as outages of third-party providers, internet or power failures, natural disasters, war, labour disputes or government action. This does not excuse payment of amounts already due or our refund obligations.
- Electronic communications. You agree to receive agreements, notices, disclosures and receipts electronically, by email to your account address or in the product, and that they satisfy any legal requirement to be in writing. You can withdraw this consent by closing your account. You need a device with web and email access to receive them, and you may ask for a paper copy of any notice at no charge by emailing us.
- Relationship. We are independent contractors; nothing in these Terms creates a partnership, joint venture or employment relationship. Except for the people protected by Sections 13 and 15, nothing in these Terms gives rights to anyone other than you and us.
- Government users. SESI is “commercial computer software” and “commercial computer software documentation” under FAR 12.212 and DFARS 227.7202, and US government users receive only the rights in these Terms. If a government entity cannot accept a provision, it applies only as far as the law allows.
- Language and headings. The English version of these Terms controls to the extent the law allows; translations are for convenience. Headings are for convenience only, and “including” means “including without limitation”.
